Waiting List Referral Program Terms and Conditions

General Rules

1.1. The Waiting List Referral Program (“Program”) is conducted by Tap Americas LLC, a company licensed and regulated by the Gibraltar Financial Services Commission under the Distributed Ledger Technology (DLT) with license No. 25532. under the laws of Gibraltar, having its registered office at 260 Main Street, GX11 1AA, Gibraltar (“Tap” or the “Organizer”).

1.2. The Program aims to incentivize existing Tap waiting list users (“Referrers”) to refer potential new users (“Referred Users”) to join Tap’s waiting list for its upcoming launch in the United States.

1.3. The relationship between the Referrers, Referred Users, and Tap (hereinafter referred to as the “Parties”) in regard to their participation in the Program shall be governed by the present Waiting List Referral Program Terms and Conditions (“Program Terms”).

1.4. The Program is open to all existing Tap waiting list users who are residents of the United States.

Referral Mechanism

2.1. To participate in the Program, the Referrer must log in to their Tap waiting list and access their unique referral link, which they can share with potential Referred Users. The Referrer must only use this unique link to refer others to the Program.

2.2. The Referred User must use the Referrer’s unique link to join Tap’s waiting list for the upcoming launch in the United States.

2.3. Both the Referrers and the Referred User will receive a reward ticket (“Ticket”) if the Referred User successfully joins the waiting list using the Referrer’s unique link.

2.4. The Ticket is a non-transferrable, non-refundable, and non-redeemable voucher that can be used to participate in a prize draw to win a prize from a range of $1 to $100.

Eligibility and Requirements

3.1. The Referred User must be a resident of the United States.

3.2. The Referrer and Referred users must pass Know Your Customer (KYC) verification in the Tap app, once the said app is made available in the USA before the referrer and referred may receive the Ticket directly in their Tap app account.

3.3. A Referrer may refer as many Referred Users as they wish, subject to the limitations set out in these Program Terms.

3.4. A Referred User may only use one Referrer’s unique link to join the waiting list.

Prize Draw

4.1. The prize draw will take place within 30 days after the launch of Tap in the United States.

4.2. The draw will be conducted randomly, and the winning tickets will be selected using our internal prize randomizer.

4.3. The prize value of each ticket will be determined randomly and will range from $1 to $100.

4.4. The winner will be notified by email or other communication method within 5 working days after the prize draw.

4.5. The prize must be claimed by the winner within 30 days after the app launch date directly in the app.

Limitations and Restrictions

5.1. The Program is only applicable if Tap successfully launches in the United States.

5.2. The Ticket cannot be exchanged for cash or any other equivalent value.

5.3. The Referrer and Referred User may only receive one Ticket each.

5.4. The Ticket is non-transferable and cannot be sold or otherwise transferred to a third party.

5.5. Tap reserves the right to exclude or disqualify any Referrer or Referred User from the Program, in its sole discretion and for any reason, including but not limited to, suspected fraud, abuse, or violation of these Program Terms.

Disclaimer of Warrenties and Limitation of Liability

6.1. The Company does not make any representations or warranties about the accuracy or completeness of the information on the Waiting List or the quality, safety or suitability of the products or services that may be offered by the Company in the future. The Company will not be liable for any damages of any kind arising from the use of the information on the Waiting List or the products or services that may be offered by the Company in the future, including, but not limited to, direct, indirect, incidental, punitive, and consequential damages.

6.2. The Company reserves the right to modify or discontinue the Waiting List at any time without prior notice. The Company will not be liable to you or any third party for any modification or discontinuance of the Waiting List.

6.3. You acknowledge and agree that the Waiting List is provided on an "as is" and "as available" basis. The Company expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

6.4. The Company makes no warranty that the Waiting List will meet your requirements or that it will be uninterrupted, timely, secure, or error-free. The Company makes no warranty that the quality of any products, services, information, or other material obtained by you through the Waiting List will meet your expectations.

Termination

7.1. The Company may terminate your participation in the Waiting List at any time for any reason. The Company reserves the right to refuse service to anyone at any time.

7.2. Upon termination of your participation in the Waiting List, all rights granted to you under these Terms and Conditions will immediately cease.

Governing Law and Jurisdiction

8.1. These Terms and Conditions shall be governed by and construed in accordance with the laws of Gibraltar.

8.2. Any legal action or proceeding arising under these Terms and Conditions shall be brought exclusively in Gibraltar, and you hereby consent to the jurisdiction of such courts.

Entire Agreement

9.1. These Terms and Conditions constitute the entire agreement between you and the Company with respect to the subject matter hereof and supersede all prior and contemporaneous agreements or understandings, whether written or oral, relating to the subject matter.
